Detailed Procedure for Change of Name of a company
to be done by Company Secretary
The provisions of section 23 of the Companies Act, 1965 apply in respect of change of name
of a limited company. The following are the steps involved :-
Obtain approval for availability of new company name desired by filing Form 13.
Pass resolution in board meeting approving change of company name after receiving approval of the new company name
Convene general meeting of members for alteration of name clause of Memorandum of Association and pass special resolution
Make application to Suruhanjaya Syarikat Malaysia ( SSM ) for approving change of name and obtaining revised
CERTIFICATE OF INCORPORATION - FORM 13
Obtain revised Certificate of Incorporation and ensure that the new name is incorporated in the Memorandum of Association,
Articles of Association and all other official correspondence of the company.
NOTES to REMEMBER
A change of company name pursuant to the Companies Act SHALL NOT AFFECT the identity of the company or any RIGHTS OR OBLIGATIONS of the company or render defective any legal proceedings by or against the company, and any legal proceedings that might have been continued or commenced by or against it by its former name may be continued or commenced by or against it by its new name.
The OLD COMPANY NAME must also be displayed together with the NEW COMPANY NAME for a period of 12 months from the date of change of company name,also the ORIGINAL COMPANY INCORPORATION NUMBER, which NEVER CHANGES once your company has been registered, MUST ALSO BE DISPLAYED.

HOW TO PROCEED
All you have is to confirm that you want to change and we will proceed immediately
Also if possible provide the rationale or reason for the name change - why do you want to change the name?
pls also provide the copies of other company certificates of incorporation or copies of relevant documentation to support
the application for the name change - pls fax it to 4042 0723 or scan it to our email
it will take about 5 days for the name search results and a further about 5 days for the new company incorporation certificate
You do not have to make any payment right now - you only have to pay RM 500.00 after the new name is approved by SSM
